1. Acceptance of Terms
By accessing or using the Reglr platform and services ("Service") provided by Reglr, Inc. ("Reglr," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including business owners and their authorized representatives.
2. Description of Service
Reglr is an AI-powered customer intelligence and engagement platform designed for restaurants and food & beverage businesses. The Service includes customer data analysis, behavioral segmentation, automated SMS campaigns, slow-hour prediction, churn recovery, POS integration, and related features. Features may change over time at our discretion.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and not share it with third parties
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activity that occurs under your account
4. Subscription and Billing
Reglr offers a 30-day free trial followed by a paid subscription at $299 per month. By starting a trial, you agree to the following:
- A valid payment method is required to begin the trial
- You will be automatically charged $299/month after the trial ends unless you cancel
- Subscriptions renew monthly on the same day each month
- You may cancel at any time; access continues through the end of the current billing period
- We do not offer partial refunds for unused time, except at our sole discretion
- Prices may change with 30 days advance notice
All payments are processed securely through Stripe. Reglr does not store your payment card details.
5. SMS Marketing Compliance
Reglr sends SMS messages to your customers on your behalf. By using this feature, you represent, warrant, and agree that:
- You have obtained all necessary consents from recipients to receive SMS marketing messages, as required by the Telephone Consumer Protection Act (TCPA) and all other applicable laws
- You will maintain records of customer consent
- You will honor all opt-out requests promptly (Reglr processes STOP requests automatically)
- You will not use the Service to send illegal, harassing, or deceptive messages
- You are solely responsible for the content and legality of messages sent through the platform
Reglr reserves the right to suspend your account if we determine your use of SMS features violates applicable law or our policies.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your collection and sharing of customer data with Reglr complies with applicable privacy laws, including but not limited to the CCPA and GDPR where applicable.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Send spam, unsolicited messages, or messages to individuals who have opted out
- Impersonate any person or entity
- Upload or transmit malicious code or interfere with the Service
- Attempt to gain unauthorized access to any part of the Service
- Resell or sublicense the Service without our written consent
- Use the Service for any purpose other than your own internal business operations
8. Intellectual Property
The Service, including all software, algorithms, designs, text, and graphics, is owned by Reglr, Inc. and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your active subscription. You may not copy, modify, reverse engineer, or create derivative works of any part of the Service.
9. Your Data
You retain ownership of your business data and customer data. By using the Service, you grant Reglr a limited license to process your data solely to provide and improve the Service. We do not sell your data or your customers' data. Upon account termination, you may request export of your data within 30 days.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Reglr does not warrant that the Service will be uninterrupted, error-free, or that AI-generated insights will be accurate or result in specific business outcomes.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REGLR, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO REGLR IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Reglr, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
13. Termination
Either party may terminate these Terms at any time. You may cancel your subscription at any time via your account settings. We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service immediately ceases.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 14 days before changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
